End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a binding legal contract between you (either an individual or a single entity/enterprise, "User" or "you") and Rheacon Engineering LLC, an Illinois limited liability company doing business as Rheacon Systems (collectively with its affiliates, brand names, and operational entities, "Rheacon", "Company", "we", "us", or "our").

By purchasing, downloading, installing, or using the NexusCore software ("Software"), you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant and Scope of Use:

The Software is licensed, not sold. Subject to your compliance with this Agreement and payment of all applicable fees, Rheacon grants you a limited, non-exclusive, non-transferable, revocable license to use the Software based on your purchase model:

  • Perpetual License: You may install and execute the Software on exactly one (1) hardware device owned or controlled by you. To transfer the Software to a new device, you must completely deactivate the Software on the original device before activating it on the new device.

  • Subscription License: You may install and execute the Software on a single device for the duration of your active paid subscription term.

  • Enterprise Licensing: For organizations looking to scale, custom pricing, bulk seat counts, and volume discounts are available. Large corporations and enterprise clients operate under customized contractual agreements that supersede this standard Agreement.

 

2. Registration and Security:

  • Unique Credentials: To purchase and activate the Software, you must provide a unique, valid email address and a unique phone number.

  • No Account Sharing: Sharing your account credentials, license keys, or access to the Software with any third party is strictly prohibited. You are entirely responsible for maintaining the confidentiality of your account details.

 

3. Usage Restrictions

You shall not, and shall not permit any third party to:

  • Reverse Engineer: Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Software.

  • Benchmark: Disclose or publish the results of any performance, security, or benchmark tests of the Software to any third party without prior written consent from Rheacon.

  • Rent or Share: Rent, lease, lend, sell, sublicense, distribute, or commercially exploit the Software.

 

4. Maintenance, Updates, and Support

  • Subscription Maintenance: Subscription users receive all software updates, new features, and technical support for the duration of their active paid subscription.

  • Perpetual Maintenance: Perpetual purchases include twelve (12) months of software updates and technical support from the date of purchase.

  • Perpetual Expiration: After the initial 12-month period, you retain the permanent right to use the specific software version downloaded during that timeframe. Access to new features, updates, and technical help will cease unless you pay an optional annual fee of $99 USD + applicable taxes to Rheacon.

 

5. Subscription Billing and Termination Effects

  • Billing Cycles: Subscription licenses are billed automatically on a recurring basis, choosing either monthly (every 30 days) or annually. Subscriptions are automatically renewed until canceled.

  • Feature Lock upon Cancellation: If your subscription is canceled or expires outside of the 14-day window, the Software will immediately switch to read-only status. All advanced features, editing capabilities, and active functionalities will lock, and an onscreen notification will display.

  • Access Period: You may view existing data in read-only mode until the end of your current billing period (the end of your 30-day cycle or the final day of the current calendar month).

  • Data Retention & Deletion: Your account will remain locked until you renew. After ninety (90) days of continuous non-renewal, your data will be permanently wiped from Rheacon's systems. We will send a warning notification to your registered email address before this deletion happens.

 

6. No Warranty ("AS-IS") and Faulty Software Exceptions

THE SOFTWARE IS PROVIDED TO YOU "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RHEACON ENGINEERING LLC, RHEACON SYSTEMS, AND ALL AFFILIATED ENTITIES (COLLECTIVELY, "RHEACON") EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY. IF YOU DO NOT AGREE TO THIS "AS-IS" PROVISION, YOU ARE ADVISED NOT TO USE THE SOFTWARE.

 

Faulty Software Exception: If the software is faulty, malfunctioning, or fails to perform according to its technical specifications, you must report the fault to support@rheacon.com. Rheacon will make every reasonable attempt to fix the software bug or issue a working replacement version. If we are unable to fix or replace the faulty software within a reasonable timeframe, Rheacon will issue a refund:

  • Perpetual Licenses: A full refund of the original purchase amount.

  • Subscription Licenses: A refund up to the total amount paid for the current subscription period.

 

7. Refund Policy and Digital Content Waiver

All refund requests must be directed to support@rheacon.com with your order number.

  • Subscription 14-Day Guarantee: Rheacon offers a 14-day money-back guarantee for all new subscription purchases (monthly or annually). You may request a full refund within fourteen (14) days of your initial purchase date. No partial or prorated refunds are issued after this window.

  • Perpetual License Final Sale: All sales of perpetual software licenses by Rheacon are final and non-refundable, except as provided under the Faulty Software Exception.

  • Digital Content Waiver (B2C Consumers): For individual consumers (B2C), the 14-day statutory cooling-off period is waived upon the delivery of digital content. By checking the acknowledgment box at checkout and subsequently downloading, activating, and logging into the software, you explicitly agree that you lose your right to a 14-day refund on perpetual purchases from Rheacon.

 

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Rheacon Engineering LLC, Rheacon Systems, or any operational arm of Rheacon be liable for any special, incidental, indirect, or consequential damages whatsoever (including data loss, business interruption, or financial loss) arising out of the use or inability to use the Software. Rheacon's total liability under this Agreement shall be limited to the actual amount paid by you to Rheacon for the Software license.

 

9. Governing Law and Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Illinois and the federal laws of the United States of America, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Illinois to resolve any legal matter arising from this Agreement.

 

10. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
